(2) If the customer wishes further improvements, these must be paid for separately. We will make you an offer if desired.
(3) We are entitled to refuse changes if the customer has not paid an invoice amount due, if the requests for changes are not understandable or cannot be carried out (de jure or de facto impossibility), or if the changes was only requested for subjective reasons of taste.
(4) If the changes or replacement delivery fails, the customer is entitled to withdraw from the contract or to demand a reduction in the purchase price.
§ 9. Delivery times
(1) A desired delivery date is set by the customer in such a way that, taking into account all time-consuming factors, timely delivery and changes is also possible from a real and perceived perspective. The customer is obliged to specify delivery times when making the inquiry and to agree these as part of the contract. If the customer and his account manager have agreed to postpone the delivery date, the date agreed in writing will be considered the final date. We are not liable for incorrect or late appointment information provided by the customer. A delivery period is considered to be in accordance with the contract if the contractually agreed service has demonstrably been provided (mail server log files, communication protocols) or has been sent to the customer.
(2) We are not liable for delays caused by force majeure (e.g. strikes, lockouts, official orders, general telecommunications disruptions, etc.) and by circumstances within the customer's area of responsibility (e.g. timely provision of cooperation services; defects due to unclear, incorrect or incomplete orders; incomplete communication of an order) and entitle us to postpone the delivery of the respective services for the duration of the hindrance plus a reasonable start-up time. Delays in performance due to force majeure must be reported immediately, as far as possible.
§ 10. Property
(1) Contractual services include the granting of rights of use and the client acquires the right of use.
(2) We undertake not to use the transferred result entirely for our own purposes, e.g. in publications, abstracts, electronic media, etc.
(3) The rights to the result shall only be transferred after full payment for the contractual services and handover of the product to the customer.
(4) In the event of unilateral cancellation of the order, termination of the contract after the transfer of the rights of use and the satisfaction of a claim asserted by the purchaser under warranty, the rights of use shall be transferred to the purchaser and our obligations under this clause shall cease.
§ 11. Liability and warranty
(1) Liability for the legal admissibility of the content of the commissioned services is excluded. The customer releases us from all resulting claims.
(2) We are liable for intent and gross negligence in accordance with the statutory provisions. In case of slight negligence, we are only liable for breach of a cardinal obligation, the fulfillment of which is essential for the proper execution of the contract and on whose compliance the customer regularly relies, as well as for damage resulting from injury to life, body or health. In the case of slight negligence, liability is limited to the amount of foreseeable damage that can typically be expected, but to a maximum amount of the contract price. Liability under national law remains unaffected by this limitation of liability. This also applies to the liability of our sub-suppliers.
(3) We are not liable for the loss of data if the damage is caused by a customer who has not backed up the data so that the lost data can be restored with reasonable effort.
(4) Questions of style, subjective attitudes, minor spelling or grammatical errors, formatting requirements that were not clearly stated when placing the order, requirements that are not generally applicable, and the customer's personal preference do not constitute the customer's rights.
§ 12. Right to withdraw from the contract
(1) If the customer withdraws from the contract for reasons for which we are not responsible, it is agreed that we can demand compensation in the amount of the proven expenses (hours or pages), but at least in the amount of 30% of the net order amount, unless the flat rate exceeds the damage to be expected in the normal course of business or the usual impairment costs or the customer proves that either no damage was caused or the damage incurred is significantly lower than the flat rate. Взамен Клиент соглашается принять и оплатить данные услуги в соответствии с положениями, изложенными в настоящем документе.

§ 6. Оказание договорных услуг
- Договорные услуги оказываются в тесном взаимодействии с нашими личными менеджерами, которые отвечают за координацию коммуникации между клиентом и фрилансерами. Наши персональные менеджеры обязаны поддерживать связь с клиентом в течение своего рабочего времени с начала и до окончательной передачи работы, чтобы оперативно решать возникающие вопросы.
- Связь ведётся по электронным каналам связи (включая электронную почту, телефон или мессенджеры).
- Наши фрилансеры свободны в выполнении услуг, принимая во внимание предмет договора и установленные сроки.
- Если одна из сторон установит, что какие-то сведения или требования неверны, неполны, неясны или не подлежат исполнению (независимо от того, исходят ли данные требования от самой стороны или от третьего лица), она обязана немедленно уведомить другую сторону о таких обстоятельствах, а также о любых выявленных последствиях.
§ 7. Изменение объёма заказа
- Если в процессе работы клиент меняет изначальные требования, работа продолжается только после повторной оценки заказа, исходя из новых требований. Мы произведём переоценку заказа и проинформируем клиента о последствиях изменений в течение 3 дней с даты письменного уведомления со стороны клиента.
- Если соглашение не будет достигнуто или процесс внесения изменений завершится по другой причине (вероятно, потому что изменения, запрошенные клиентом, невозможно осуществить в желаемый срок), сохраняется исходный объём услуг. Однако клиент имеет право прекратить дальнейшее исполнение договора; в этом случае он обязан оплатить уже фактически оказанные услуги.
§ 8. Доработки
- Клиент может запросить внесение изменений в ходе выполнения работы и в течение 2 (двух) недель после её передачи. Такие запросы на изменение должны быть направлены клиентом личному менеджеру по электронной почте. Для этого требуются чёткие и подробные данные, указывающие характер изменений и причину обращения за доработкой. По истечении указанного срока услуга считается принятой клиентом.
- Если клиент желает дальнейших улучшений, они оплачиваются отдельно. По запросу мы предоставим клиенту соответствующее предложение.
- Мы вправе отказать в изменениях, если клиент не оплатил причитающуюся сумму по счёту, если запросы на изменения не поддаются пониманию или не могут быть выполнены (юридическая или фактическая невозможность), либо если доработки запрошены исключительно по субъективным эстетическим причинам.
- Если улучшения или предоставление замещающего результата не удаётся, клиент вправе отказаться от договора или потребовать уменьшения цены.
§ 9. Сроки доставки
- Клиент устанавливает желаемую дату сдачи таким образом, чтобы с учётом всех временных факторов своевременная передача и внесение правок были возможны как с реальной, так и с фактической точки зрения. Клиент обязан указать сроки доставки при подаче запроса и согласовать их в рамках заключения договора. Если клиент и его аккаунт-менеджер договорились о переносе даты сдачи, финальной датой считается та, что была согласована в письменном виде. Мы не несём ответственности за неверные или несвоевременные сведения о сроках, предоставленные клиентом. Срок доставки считается соблюдённым по договору, если доказуемо выполнен объём работы (логи почтового сервера, протоколы общения) или он был отправлен клиенту.
- Мы не несём ответственности за задержки, вызванные форс-мажором (например, забастовки, локауты, предписания властей, общие сбои в телекоммуникациях и т. д.) и обстоятельствами, лежащими в сфере ответственности клиента (например, несвоевременное предоставление необходимых данных; недостатки из-за неясных, неправильных или неполных заказов; неполное описание задания), и имеем право отодвинуть предоставление соответствующих услуг на время препятствия плюс разумное время для возобновления работы. Задержки в выполнении из-за форс-мажора должны сообщаться незамедлительно, насколько это возможно.
§ 10. Право собственности
- Договорные услуги включают предоставление прав пользования, и клиент приобретает право использования.
- Мы обязуемся не использовать полученный результат работы в полном объёме для собственных целей, например, в публикациях, рефератах, электронных СМИ и т. п.
- Права на результат передаются только после полной оплаты договорных услуг и передачи продукта клиенту.
- В случае односторонней отмены заказа, расторжения договора после передачи прав пользования и удовлетворения требования, заявленного покупателем по гарантии, права пользования переходят покупателю, а наши обязательства по данному пункту прекращаются.
§ 11. Ответственность и гарантия
- Ответственность за юридическую допустимость содержания заказанных услуг исключена. Клиент освобождает нас от всех возникающих в связи с этим претензий.
- Мы несем ответственность за умысел и грубую неосторожность согласно законодательству. При лёгкой неосторожности мы ответственны только за нарушение кардинального обязательства, исполнение которого имеет существенное значение для надлежащего исполнения договора и на соблюдение которого клиент регулярно рассчитывает, а также за ущерб, возникший вследствие причинения вреда жизни, здоровью или телу. В случае лёгкой неосторожности ответственность ограничивается суммой предвидимого ущерба, который обычно может ожидаться, но не более, чем цена договора. Ответственность в соответствии с национальным правом не затрагивается указанным ограничением. Это правило распространяется и на ответственность наших субподрядчиков.
- Мы не несём ответственности за потерю данных, если ущерб был вызван тем, что клиент не сделал резервную копию данных, в результате чего утраченные данные невозможно восстановить с разумными усилиями.
- Вопросы стиля, субъективное восприятие, незначительные орфографические или грамматические ошибки, требования к форматированию, которые не были ясно указаны при размещении заказа, требования, не имеющие общей сферы применения, а также личные предпочтения клиента не дают клиенту никаких прав требования.
§ 12. Право на отказ от договора
- Если клиент отказывается от договора по причинам, за которые мы не несём ответственности, считается, что мы можем потребовать компенсацию в размере подтвержденных расходов (часов или страниц), но не менее 30% от чистой (нетто) суммы заказа, если только эта фиксированная сумма не превышает ущерба, ожидаемого в обычном ходе бизнеса, или обычных расходов на ухудшение и если клиент не докажет, что ущерба вообще не было или ущерб существенно меньше фиксированной суммы. Также мы будем вычитать издержки, которые мы сэкономили, поскольку услуги не были выполнены полностью, или выгоды, полученные нами от иного использования соответствующих ресурсов, либо доход, который мы не получаем умышленно. Услуги, уже оказанные, будут компенсированы соответствующим образом.
- Кроме того, клиент обязан оплатить надлежащим образом оказанные на момент расторжения договора услуги.
§ 13. Доставка и отгрузка
Поставка клиентам, как правило, осуществляется в электронном виде.
§ 14. Конфиденциальность, дискретность, защита данных
- Реализация нашей посреднической услуги между сторонами происходит на анонимной основе. Нашим фрилансерам не сообщаются ни имя заказчика, ни иные личные данные, и мы не разглашаем имя или личные данные фрилансера клиенту. В любом случае наши фрилансеры подписывают с нами соглашение о неразглашении.
- Все участники договора, включая наших внештатных сотрудников, обязаны сохранять конфиденциальность всех сведений, которые стали им известны в процессе работы на клиента, если только особая информация не нужна для исполнения договора. Это обязательство о неразглашении касается как самого клиента, так и предмета сделки. Освободить участников от данной обязанности может только сам клиент письменно. Любая юридическая обязанность раскрытия информации имеет приоритет над этими обязательствами о неразглашении.
- Мы используем переданные нам персональные данные только в рамках правовых норм.
- С учётом передачи текстов и данных, а также прочей коммуникации в электронном виде, нельзя гарантировать абсолютную защиту коммерческой тайны и конфиденциальной информации, так как несанкционированный доступ третьих лиц к содержимому, передаваемому электронным путём, не может быть полностью исключён.
§ 15. Прочие условия
- Обе стороны понимают и соглашаются, что данные Общие условия подчиняются законодательству места, где находится наш главный офис, как в плане толкования, так и в плане исполнения.
- Если какие-либо положения соглашений сторон окажутся полностью или частично недействительными, незаконными или неисполнимыми, это не затрагивает действительность и исполнимость оставшихся положений.
